Terms of Service
Last updated 3 July 2026
These Terms of Service (“Terms”) are an agreement between Worklane(“Worklane”, “we”, “our”, “us”) and the organisation or person accessing or using the Worklane application and related services (the “Service”). By creating a workspace, accepting an invitation, or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you warrant that you have authority to bind that organisation, and “you” means that organisation.
The Service is designed for business use by professional teams. It is not directed at consumers acting in a personal capacity or at children.
1. Accounts and workspaces
- You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account and must notify us promptly of any suspected unauthorised use.
- Each workspace is controlled by its owner and administrators. They decide who may join, what roles and permissions members have, and how workspace content is used and shared. We act on their instructions in administering the workspace.
- When your access to a workspace is removed by its administrators, you lose access to that workspace's content. Content you contributed remains part of the workspace.
2. Fees, GST and changes
Where fees apply to your plan, they are stated in Australian dollars and, unless expressly stated otherwise, are exclusive of GST, which will be added where applicable under the A New Tax System (Goods and Services Tax) Act 1999(Cth). Fees are payable in advance and are non-refundable except as required by law or expressly stated. We may change pricing with at least 30 days' notice, effective from your next billing period.
3. Acceptable use
You must not, and must not permit anyone to:
- use the Service in breach of any applicable law or regulation;
- upload or share content that is unlawful, infringing, defamatory or malicious (including malware), or that you do not have rights to use;
- attempt to access another organisation's workspace, probe or circumvent security or permission controls, or interfere with the integrity or performance of the Service;
- scrape, bulk-export or harvest data from the Service other than through features we provide, or use automated means to access it except via interfaces we make available;
- reverse engineer, decompile or copy the Service except to the extent such a restriction is prohibited by law;
- resell, sublicense or provide the Service to third parties as a service bureau without our written agreement; or
- use the Service to send spam or communications that breach the Spam Act 2003 (Cth).
We may suspend or limit access where we reasonably believe these Terms are being breached or where necessary to protect the Service or other customers, and will tell you why unless the law prevents us.
4. Your content
- You (or your organisation) retain all rights in the content you submit to the Service. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, display and back up that content solely to provide, secure, support and improve the Service. We do not use your content for advertising or to train machine-learning models.
- You are responsible for the accuracy and lawfulness of the content you and your team put into the Service, including having a lawful basis to store personal information about third parties (such as client contacts) and any consents your own obligations require.
- Calendar feed links, share links and similar features generate URLs that grant access to whoever holds them. You are responsible for who you share such links with.
5. No professional advice
The Service is a productivity tool. Its outputs — including fee calculations, benchmarks, registers, reports and exports — are aids prepared from data you enter and assumptions you choose. They are not engineering, financial, legal or other professional advice, and we do not warrant that any output is fit for submission to a client or authority. You remain solely responsible for reviewing and verifying all outputs, for your professional judgement and deliverables, and for compliance with your professional obligations.
6. Intellectual property
The Service — including its software, design, and trade marks — is owned by Worklane or its licensors and is protected by intellectual property laws. We grant you a non-exclusive, non-transferable right to use the Service in accordance with these Terms for your internal business purposes. No other rights are granted. If you give us feedback or suggestions, we may use them without restriction or obligation.
7. Availability, changes and data
- We aim to keep the Service available and reliable, but we do not promise it will be uninterrupted or error-free. We may perform maintenance and will use reasonable efforts to minimise disruption.
- We may add, change or retire features. If we materially reduce the core functionality of a paid plan, we will give reasonable notice.
- Features marked beta, preview or early access are provided for evaluation, may change or be withdrawn, and are excluded from any availability commitments.
- We maintain routine backups for disaster recovery. They are not a substitute for your own records: we encourage you to use the Service's export features for content you are required to retain.
8. Privacy
Our collection and handling of personal information is described in our Privacy Policy, which forms part of these Terms. Each party must comply with the privacy laws applicable to it — for your organisation, that includes your own obligations for the personal information you store in your workspace.
9. Termination
- You may stop using the Service and close your workspace at any time.
- We may suspend or terminate access for material breach of these Terms that is not remedied within 14 days of notice (or immediately for serious breaches such as unlawful use or security abuse), or for non-payment of fees.
- For 30 days after a workspace is closed, its owner may request an export of workspace content. After that, we delete or de-identify the content as described in the Privacy Policy.
- Clauses which by their nature should survive termination (including clauses 4–6 and 10–13) survive.
10. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law (“ACL”). Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the ACL or any other law that cannot lawfully be excluded. To the extent we are permitted to limit our liability for a failure to comply with a consumer guarantee, our liability is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.
11. Disclaimer and limitation of liability
Subject to clause 10, and to the maximum extent permitted by law:
- the Service is provided “as is” and we exclude all warranties, conditions and guarantees not expressly set out in these Terms or implied by law in a way that cannot be excluded;
- neither party is liable to the other for indirect or consequential loss, loss of profits, revenue, anticipated savings, goodwill, business opportunity, or loss or corruption of data (except for your obligation to pay fees, and except for loss caused by a party's fraud or wilful misconduct);
- our total aggregate liability for all claims arising out of or in connection with these Terms or the Service — whether in contract, tort (including negligence), statute or otherwise — is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) AUD $100; and
- our liability is reduced proportionately to the extent your acts or omissions (or those of your users) contributed to the loss.
12. Your indemnity
You indemnify us against liabilities, costs and losses (including reasonable legal costs) we incur arising from third-party claims to the extent caused by: (a) content you or your users submit to the Service; (b) your breach of clause 3 (acceptable use) or clause 8 (privacy); or (c) your unlawful use of the Service — except to the extent we caused the relevant liability.
13. General
- Governing law. These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
- Changes to these Terms.We may update these Terms from time to time. For material changes we will give at least 30 days' notice (by email to workspace owners or in-app). Continued use after a change takes effect constitutes acceptance; if you do not agree, stop using the Service before the change takes effect.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than an obligation to pay money.
- Assignment. You may not assign these Terms without our consent (not to be unreasonably withheld). We may assign them as part of a corporate restructure or sale of the business, with notice to you.
- Severability & waiver. If a provision is unenforceable it is read down or severed to the minimum extent necessary; the rest remains in force. A failure to enforce a right is not a waiver of it.
- Entire agreement. These Terms, the Privacy Policy and any plan or order details you agree with us are the entire agreement about the Service and supersede prior discussions.
